New Legal Duty for the Directors of Charitable Companies

If your charity is a charitable company, your Trustees will also be Directors for the purposes of company law.

From 18 November 2025, all directors of charitable companies must verify their identity with Companies House under the Economic Crime and Corporate Transparency Act 2023.

This applies to new appointments and existing directors, who must confirm verification in their next annual statement. Verification is done online or via an authorised agent, and results in a unique ID code. Acting as a director without verification will be a criminal offence, with potential fines.
